Terms of Service

Let’s Begin
Welcome to Planta. These Terms of Service (“Terms”) govern your relationship with Planta through your account. By creating an account or continuing to use Planta, you agree to be bound by these Terms and our Planta Privacy Policy.
If you are using an Event Hub powered by Planta — a highly customized experience designed for a specific Host and Event — the separate Event Hub Terms of Service and Event Hub Privacy Policy apply to that experience. If you choose to join Planta from an Event Hub, these Terms govern your ongoing relationship with Planta from then on.

1. What is Planta?
Planta (“Planta”, “We”, or “Planta Network”) is a discreet and relational network that proactively surfaces (re)connection opportunities that lead to impact at events and enjoying time in real life with people you care about.
2. Who Can Use Planta?
Access to Planta is by invitation only. The Host determines who participates by submitting a participant list (the “List”) to Planta. You need to be on the List to access the experience.
You must be at least 18 years old and have the legal capacity to enter into a binding agreement in your jurisdiction. By accepting these Terms, you confirm that both conditions are met. If We learn a user is under 18, We will delete their data and terminate their access promptly. If you believe a minor has used the platform, notify us at privacy@planta.network.
3. How You Join Planta
You can join Planta and become a member through one of the following paths:
From a Planta-branded Event. A Host invites you to an Event that uses Planta under Planta’s own brand. The Host determines who participates by the List to Planta. You engage with Porter and accept these Terms. From that moment, you join Planta and have an active account.
From an Event Hub powered by Planta. Some Events use Planta with a high degree of customization for the Host and the Event — called the Event Hub powered by Planta. When available, during or after that Event, you may choose to join Planta. Joining is a separate, voluntary step — independent from your participation in the Event. Joining is entirely optional. If you complete the process, your Dossier (as defined below) travels with you into Planta, and you join Planta.
Direct registration. Planta may introduce additional ways to join in the future, including direct registration outside the context of a specific Event. Any new entry path will require your acceptance of the then-current Terms and Privacy Policy before your account is created.
4. How Does Planta Help You?
Your Dossier. By the time you arrive at the Event, Planta already has assembled some information about you (the “Dossier”) from the registration data the Host shared with us and enrichment we made from available sources through third-party providers. Your Dossier is never shared publicly and is never visible to other participants.
The Dossier is updated with everything you share with us — including through Porter (see below) — and what you do on Planta. Your Dossier contains your complete history with Planta in full detail, including every Event you have participated in and your track record with us. You can request access to your Dossier at any time by contacting privacy@planta.network. Self-service options may also be available.
Your Profile. From your Dossier, Planta generates a professional brief visible to other participants (the “Profile”). Once you engage with Planta, you can review, edit, and correct your Profile at any time. Anything you share with Porter, or your activity, also updates your Dossier and is reflected in your Profile accordingly.
Porter. When you access Planta, you have Porter — your AI relationship agent. Porter works on your behalf across every Event and every interaction you have with Planta.
Before and during the Event. Porter helps you get the most out of every Event. It may reach out to ask about your goals, what you’re working on, and who you’d actually want to meet — so it can refine your Profile and shape your connection opportunities. If enabled, this interaction can happen through a voice interview. What you tell Porter directly influences what Planta delivers for you.
If the Host enables it, Porter can answer questions about the Event throughout the Event.
After the Event. Porter may reach out — including through a voice interview, if enabled — to ask whether connections led to something valuable, your overall experience, among others.
When you initiate a voice conversation with Porter, you are consenting to the processing and storage of the resulting conversation data.
Connection opportunities. When enabled, upon accessing Planta, you will receive connection opportunities with other participants and the Why Connect (see below). We generate these opportunities based on your Dossier and/or Profile. Anything you update on your Profile or tell Porter will have an impact on the suggestions.
Suggestions are starting points, not guarantees. You can always choose whether to act on them. You can also elect which channel you prefer to be reached out to. Contact details are only shared when both participants opt in to the connection.
For certain events, the Host may enable immediate connections — a format in which connections are established and contact details shared automatically, without requiring individual opt-in from each participant. When enabled, this is disclosed at the event level. By accepting these Terms, you acknowledge and accept that this format may apply to events you attend through Planta.
Directory. If enabled, you can browse other event participants’ Profiles. You will see personalized Why Connect insights for each participant on the Directory.
The “Why Connect” section will show the potential reasons behind each connection opportunity or potential reasons to connect with other Directory participants. All Why Connect reasons are just insights and are personalized to you — no other participant sees them. The Host may only receive a simplified version.
Preferences. You can choose through which channel to receive notifications or what contact information you want to share.
New features. These reflect Planta’s current capabilities and will evolve as the platform continues to develop. Planta is an early-stage company actively developing the platform — some features described in these Terms may not yet be available or may change as the product matures. Any new purpose materially outside this scope will be disclosed before it is activated.
How Planta helps the Host.
Planta gives the Host access to tools to deliver a better Event — including support in the design of the Event experience, a dashboard with Event activity and connection insights, and when available, facilitation support and feedback from the Event Porter collects.
The Host may provide guiding questions or topics for Porter to explore during the Event — for instance, questions related to your goals, interests, or experience at the Event.
The Host never sees your conversations with Porter, your self-reported context, or your Dossier. It only accesses simplified outputs and aggregated insights that respect your privacy, which is core to delivering any Planta experience. See our Planta Privacy Policy for more details.
Planta assumes no liability for the conduct, decisions, or outcomes of any event or connection, nor for any use the Host makes of the information provided through the platform.
5. Your Account and Your Profile Across Events
Your account is ongoing until you delete it.
Cross-Event Profile. When available, your Dossier may be used to improve your experience at future Events, including Events using the Event Hub powered by Planta.
Your consent when you joined covers cross-Event use. You can request that Planta stop using your prior Dossier at any time by contacting privacy@planta.network. When available, self-service options will also be offered. This does not affect your account or your Profile at Events where you have already engaged.
Event participation record. Your Event participation record — including the names of events you attended through Planta — becomes part of your Dossier.
6. Messages and WhatsApp
6.1 WhatsApp Contact Conditions
Planta only contacts you via WhatsApp after you have taken an action that initiates or consents to the communication — such as clicking an invitation link and accepting these Terms. Planta does not send unsolicited WhatsApp messages.
6.2 Message Types
Messages sent through Planta are primarily utility messages related to your professional connection experience. These messages are part of delivering and improving the service.
The Host may enable additional communication types for their Event. When this applies, it will be disclosed to you at the event level.
As the platform evolves, Planta may also send you communications about upcoming Events, new features, or relevant opportunities. These will always be clearly identified and include opt-out options.
6.3 Opt-Out
You can stop messages at any time by replying STOP or any similar key opt-out word to any WhatsApp message, or by contacting privacy@planta.network. We respect all opt-out requests including requests to block, stop, or cancel communications. We process opt-outs immediately. Opting out will limit your platform access.
We will never confuse, deceive, defraud, mislead, or surprise you with our communications, and We will never send unsolicited bulk messages.
Opting out is different from asking to delete your account or exercising data subject rights.
6.4 Different communication platforms
Planta may use additional communication platforms. In any case, the principles detailed here and in the Planta Privacy Policy will be applicable, along with the ones from the used platforms.
By using WhatsApp as a communication channel within Planta, you acknowledge that WhatsApp’s own Terms of Service and Privacy Policy also apply to messages sent and received through that channel. You are responsible for reviewing and complying with WhatsApp’s terms, available at https://www.whatsapp.com/legal.
7. What Happens After an Event
7.1 Event Closing
Between 7 and 14 days after the Event date, the active Event experience closes on Planta. Any questions about the Event itself should be redirected to the Host.
The Event Directory — the list of who attended and their professional context — may remain accessible for additional time, as agreed with the Host, but you will no longer be able to send or request new connections for that Event.
7.2 Your Account Continues
Unlike the Event, your Planta account continues. Your Dossier persists and compounds across future Events.
7.3 Dormant Accounts
Accounts with no activity for an extended period may be deleted. Planta currently considers accounts inactive after 36 months with no engagement.
8. Your Responsibilities
- Provide accurate, up-to-date information. We rely on what you tell us to generate a useful experience — inaccurate information affects yours and everyone else’s.
- Maintain access to the WhatsApp number, email, or any other channel associated with your account.
- Do not misuse Planta: do not misrepresent who you are; attempt to access others’ Profile or data; use the platform to run scams or spam other participants; scrape or export information; or attempt to manipulate Porter or the AI matching system.
You authorize Planta and the Host to modify, reschedule, or cancel any suggestions on your behalf within the Event Hub for event management purposes.
Each participant is solely responsible for their own electronic devices, communication devices, and related matters such as hardware condition, internet connection, and security.
9. Community Guidelines
Planta is a communal network. Every participant who engages authentically — sharing openly, updating their Profile honestly, and approaching connections with genuine intent — makes it better for everyone. The connections you enable for others are the same ones others enable for you.
These guidelines exist to protect something worth protecting — a space where real professional connections can form. The standards below aren’t restrictions for their own sake. They reflect what makes this kind of network work: trust, honesty, and mutual respect.
What We expect: Use your real name, role, and professional information. Engage honestly and with genuine intent. Treat connection requests and messages as professional communication. Respect people who do not respond.
What is not acceptable: Offensive, discriminatory, or inflammatory language; harassment or bullying; misrepresenting your identity, role, or affiliations; using contact information for outreach unrelated to a genuine connection; sharing participant information outside the platform without explicit consent; revealing confidential information you do not have the right to share; scraping or bulk-exporting data; circumventing any security feature or access control of the platform; interfering with the operation of the platform (such as spam, denial of service attacks, or introducing viruses or harmful code); attempting to manipulate or reverse-engineer the AI matching system; violating anyone’s intellectual property rights through the Planta experience; or any other action or omission that could go against the main purpose of Planta and that could be considered unreasonable from a good faith perspective.
Planta and the Host reserve the right to remove your access at any time for violations, without prior notice. Serious violations may be reported to the relevant authorities. Report concerns to privacy@planta.network.
10. AI Uses
Planta is powered by AI throughout the experience.
AI providers. To deliver Planta, We use third-party AI providers as processors. By accepting these Terms, you acknowledge that your data may be processed by these providers. Each provider operates under its own terms of service, privacy policies, security standards, and data retention practices.
Limitations. AI-generated outputs — including Profile summaries, connection opportunities, Why Connect reasoning, conversation responses by Porter — are probabilistic. They may not fully or accurately represent you or others. They are designed to spark introductions and facilitate Event dynamics, not define relationships or professional standing. For Planta’s liability position regarding AI outputs, see Section 15.
Human oversight. Planta maintains a level of human supervision over AI-generated outputs to help assure the quality of connections opportunities and facilitation support for the Host. Planta’s team may review, adjust, or override AI-generated outputs in certain cases as part of supporting the design and delivery of the Event experience.
11. Content You Provide
In these Terms, Participant Generated Content means material (including, without limitation, text, images, audio material, video material, comments, and audio-visual material) that you submit to Planta, for whatever purpose.
You retain ownership of information you submit. By submitting content — including Profile photos, Profile edits, answers to Porter, and any other material — you represent and warrant that you own it or have all necessary rights, licenses, and permissions to submit it and to grant Planta a non-exclusive, royalty-free, worldwide license to use, process, store, reproduce, adapt, modify, translate, and display the content as necessary to operate and improve Planta — including for Profile generation, connection opportunities, Directory display, AI matching, and Event facilitation. You also grant us the right to sub-license these rights to other participants to the extent your content is made visible to them through Planta — including your Profile in the Directory, Why Connect reasoning, contact details, and messages you include in connection requests. This right also extends to Hosts to the extent necessary for them to receive simplified insights and facilitation outputs through the platform, and to our service providers and processors to the extent necessary to deliver the service.
The rights you grant in this license are for the limited purpose of operating, promoting, and developing Planta — including for AI matching, connection opportunities, product improvement, analytics, and other purposes as described in these Terms and our Planta Privacy Policy.
You are solely responsible for the content you submit, including its accuracy and legality. Participant Generated Content must not be illegal or unlawful, must not infringe any third party’s legal rights, and must not be capable of giving rise to legal action whether against you, Planta, the Host, or a third party (in each case under any applicable law).
You can end this license for specific content by deleting it, or generally by deleting your account — except to the extent the content has already been shared with others as part of the service, used to generate outputs delivered to other participants or the Host, or is required to be retained by law. A reasonable time to remove content from backups and other systems also applies. Deletion is processed as described in our Planta Privacy Policy.
Planta may edit, transcribe, summarize, or reformat your content to deliver the service (for example, transcribing voice messages or generating Profile summaries from your inputs), but will not substantially misrepresent what you said.
We reserve the right to edit or remove any material submitted to Planta, or stored on our servers, or hosted or published on Planta. If We receive a claim that content you submitted infringes a third party’s intellectual property or other rights, We may remove or disable access to the content without prior notice to you. If you believe content on the platform infringes your rights, contact privacy@planta.network with a description of the claim.
Notwithstanding our rights under these Terms in relation to Participant Generated Content, We do not undertake to monitor the submission of such content to, or the publication of such content on, Planta.
12. Your Data Rights and Data Retention
You have rights over your personal data. Depending on where you live and what laws apply, these may include the right to access your data, correct inaccuracies, request deletion, opt out of certain processing, request data portability, and object to how your data is used. You will not be discriminated against for exercising any of these rights.

13. AI Model Training
When available, Planta may use your data to train its algorithms and improve its intelligence systems, and develop new features. You may opt out of this use at any time by contacting privacy@planta.network. Opting out does not affect your access to the experience.
14. Intellectual Property
Planta — including its interface, matching logic, AI models, algorithms, and underlying technology — is owned by or licensed to Planta and protected by applicable law.
Subject to these Terms, Planta grants you a personal, revocable, non-exclusive, non-sublicensable, non-assignable, and non-transferable right to access and use Planta for the purposes described in these Terms. You agree not to, and shall not permit any third party to: (i) sublicense, redistribute, sell, lease, lend, or rent access to Planta; (ii) reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the platform; (iii) copy, modify, adapt, or create derivative works of Planta or any part thereof; (iv) scrape or export data from the platform; or (v) use Planta to violate any applicable law or in any manner that breaches these Terms.
You shall not use Planta’s name, logo, or trademarks in any other context except for using Planta without our prior written consent.
If you share feedback or suggestions, all rights, title, and interest in that feedback vest in Planta automatically. Planta may use, modify, license, sublicense, and exploit it in any manner or media, now known or hereafter devised, without compensation or attribution.
15. Our Liability
No warranties. PLANTA IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PLANTA MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PLANTA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.
AI outputs. AI-GENERATED OUTPUTS — INCLUDING PROFILE SUMMARIES, CONNECTION OPPORTUNITIES, WHY CONNECT REASONING — ARE PROBABILISTIC IN NATURE AND MAY BE INCOMPLETE, INACCURATE, OR NOT REFLECTIVE OF YOUR ACTUAL PROFESSIONAL PROFILE OR INTERESTS. PLANTA MAKES NO WARRANTY THAT THESE OUTPUTS WILL PRODUCE ANY PARTICULAR PROFESSIONAL OUTCOME, CONNECTION, OR RESULT.
No guarantee of outcomes. We facilitate introductions — We do not guarantee that any connection will be valuable, that anyone will engage, accept a request, or attend a meeting, or that use of the platform will lead to any specific business outcome.
Porter. Please consider that Porter is an automated agent that uses artificial intelligence to work on your behalf. It cannot make binding commitments for Planta, any Host, or anyone else. Nothing Porter says constitutes a legal agreement. Outputs generated by Porter are AI-generated, sharp, but not infallible. Use your judgment. When you initiate a voice conversation with Porter, you are consenting to the processing and storage of the resulting conversation data.
Third-party services. We rely on third-party providers for messaging, cloud infrastructure, AI processing, and enrichment data. Planta does not warrant the accuracy, completeness, or currency of information obtained from third-party enrichment providers. Planta is not liable for any failure, interruption, data loss, or error caused by third-party providers. The platform may contain links to third-party websites; you visit them at your own risk.

Data availability. Planta does not warrant that your data, event records, or any platform content will be available at any particular time, retained for any particular duration, or recoverable following a service interruption or third-party provider failure.
Limitation of liability. NEITHER PLANTA NOR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY DAMAGES, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE, INCLUDING WITHOUT LIMITATION LOSS OF DATA, INCOME, PROFIT, OR GOODWILL, HOWEVER CAUSED, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF PLANTA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, PLANTA’S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM WILL NOT EXCEED $100.
THE LIMITATIONS IN THIS SECTION ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE AGREEMENT BETWEEN YOU AND PLANTA. THE SERVICE WOULD NOT BE PROVIDED WITHOUT THEM.
Sole remedy. If you become dissatisfied with Planta, your sole and exclusive remedy is to stop using it and delete your account.
Claims period. To the extent permitted by applicable law, any claim arising from your use of the platform must be brought within one (1) year after the cause of action arises.
Service evolution. Planta is an early-stage company actively developing the platform. We may add or remove features without liability. Planta may temporarily or permanently disable the service or any part of it for maintenance, system overload, or other operational reasons, without prior notice.
Indemnification. You agree to indemnify and hold harmless Planta and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (i) your use of, or inability to use, Planta; (ii) your violation of these Terms; (iii) your violation of any third-party right, including intellectual property or data protection rights; and (iv) your violation of any applicable law.
Exceptions. Some jurisdictions do not permit the exclusion of certain implied warranties or the limitation of certain liabilities. To the extent such exclusions or limitations are prohibited by applicable law, they shall apply to the maximum extent permitted. Nothing in this section limits liability for fraud or gross negligence.
16. Governing Law and Disputes
Governing Law. These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. If you are in a jurisdiction with mandatory consumer or data protection laws, those laws apply and are not displaced by this clause.
Good-Faith Resolution. Before initiating any legal action, contact Planta at privacy@planta.network with a written description of the dispute. The parties agree to attempt to resolve any dispute in good faith within 30 days of written notice.
Jurisdiction. If a dispute is not resolved through good-faith negotiation, it shall be submitted to the competent state and federal courts in Delaware, and each party submits to that jurisdiction.
Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST PLANTA ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
Injunctive Relief. Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm.
Host disputes. If you have a dispute with a Host, settle it with the Host directly. Planta is not a party to that relationship.
Data protection authorities. Nothing in these Terms restricts your right to lodge a complaint with your local data protection authority or to seek a remedy through any applicable regulatory body. These rights exist independently of any dispute resolution process described above.
17. Termination and Suspension
You may stop receiving messages by replying STOP, or any similar key opt-out word to any WhatsApp message, or by emailing privacy@planta.network. Opting out will limit your platform access.
You can delete your Profile from one particular Event by contacting privacy@planta.network. Self-service options through the platform may also be available. This does not affect your relationship with Planta or your Profile at events where you have already engaged.
You can request that Planta stop using your prior Dossier at any time by contacting privacy@planta.network. When available, self-service options will also be offered. This does not affect your relationship with Planta or your Profile at events where you have already engaged.
You can delete your Planta account by reaching privacy@planta.network. Self-service options through the platform may also be available.
The following sections survive termination or expiration of these Terms: Section 8 (Your Responsibilities), Section 9 (Community Guidelines), Section 11 (Content You Provide), Section 12 (Your Data Rights and Data Retention), Section 13 (AI Model Training), Section 14 (Intellectual Property), Section 15 (Our Liability), Section 16 (Governing Law and Disputes), Section 17 (Termination and Suspension), and Section 21 (Miscellaneous). All obligations incurred before termination, including indemnification, also survive.
Planta’s right to suspend or terminate. Planta may suspend or terminate your access immediately if you violate these Terms, violate applicable law, provide false information, or engage in conduct that creates risk for other users, a Host, or the platform.
Host-initiated removal. A Host may request that Planta remove a specific participant’s access to their Event at any time.
18. Changes
We may modify these Terms from time to time. If We make material changes, We will notify you through the platform, by WhatsApp, email, or by other means, to give you the opportunity to review the changes before they take effect.
If you do not agree with any changes, you may delete your account. Continuing to use Planta after We publish or send notice about changes constitutes acceptance of the updated Terms as of their effective date.
19. Force Majeure
Planta is not liable for any delay or failure to perform resulting from causes outside our reasonable control, including natural disasters, acts of war, government action, infrastructure outages, or disruptions to third-party services, including WhatsApp, cloud providers, or AI processing providers.
20. Security
We implement technical and organizational security measures appropriate to our stage of development, including encrypted connections (HTTPS/TLS), encrypted storage, and role-based access controls.
Account security. Keep your account credentials secure. You are responsible for all activity under your account. Notify us immediately at privacy@planta.network if you suspect unauthorized access.
No internet system is completely secure. Use of the platform constitutes acceptance that some residual risk exists.
In the event of a confirmed security breach affecting your data, We will notify you and relevant authorities without undue delay and in any case no later than 72 hours after becoming aware.
21. Miscellaneous
These Terms, together with the Planta Privacy Policy, constitute the entire agreement between you and Planta regarding the service. If any provision is found invalid, the remaining Terms continue in full force.
Planta may freely assign all of its rights and obligations under these Terms to its affiliates, in connection with a merger, acquisition, restructuring, or sale of assets, or by operation of law, and may transfer your information to any of its affiliates, successor entities, or a new owner. You may not transfer these Terms to anyone else.
By accepting these Terms, you consent to receive communications from Planta electronically via WhatsApp or email. You agree that all notices, disclosures, and other communications We provide electronically satisfy any legal requirement that such communications be in writing. Keep your contact information updated.
If Planta does not exercise or enforce any legal right under these Terms, it does not constitute a waiver of that right.
Nothing in these Terms creates third-party beneficiary rights in any person not a party, including Hosts.
You represent and warrant that: (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated as a “terrorist supporting” country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.
